TEACHERWAVE – MASTER TERMS & CONDITIONS
Legally binding terms for all platform users.
Welcome to TeacherWave. These Terms & Conditions ("Terms") constitute a legally binding agreement between:
TeacherWave (Pending Registration) ("TeacherWave", "we", "us", "our"), and all persons who access or use the platform, including Tutors, Students, Parents/Guardians, or visitors ("Users", "you", "your").
By creating an account, subscribing, teaching, or accessing TeacherWave, you agree to these Terms and all linked policies.
1. ABOUT TEACHERWAVE
- TeacherWave is an online intermediary marketplace connecting independent freelance Tutors with Students.
- TeacherWave is not a school, employer, agency, or provider of educational services. All lessons are delivered by independent Tutors, not employees.
- TeacherWave provides the platform, payment processing, scheduling tools, and safety systems.
2. ACCEPTANCE OF TERMS
By using TeacherWave, you confirm that you:
- Have read and agreed to these Terms
- Agree to all linked policies (listed in Section 3)
- Have legal capacity to enter into this agreement
- Are a Parent/Guardian if the Student is under 18
- Agree to comply with all rules, laws, and safety requirements
If you do not agree, do not use TeacherWave.
3. LINKED POLICIES (LEGALLY BINDING)
The following policies form part of these Terms and are fully binding on all Users:

3.3 Payments & Fraud Policies
- Refund & Cancellation Policy
- Payment & Fee Transparency Policy
- Anti-Fraud & Anti-Circumvention Policy
3.4 Support & Operations
- Complaint & Support Handling Policy
These documents are incorporated by reference and hold equal legal weight to the Terms. TeacherWave may update policies at any time.
4. USER ACCOUNTS
- Users must provide accurate information.
- TeacherWave may verify identity, age, or location when required.
- Users must maintain account confidentiality.
- Accounts may be suspended or removed for violations.
- Users are responsible for all activity under their accounts.
5. USERS UNDER 18
Minors may use TeacherWave only with active parental supervision.
Mandatory Rule: Parent/Guardian Attendance
- A Parent or Guardian must attend the full duration of every lesson involving a minor.
- Tutors may not begin or continue a lesson if the child is unsupervised.
- Parents are responsible for the child’s conduct, environment, and safety.
6. TUTORS — INDEPENDENT CONTRACTOR STATUS
Tutors using TeacherWave are independent freelancers, not employees.
- Set their own prices
- Set their own schedules
- Choose their own teaching methods
- Provide their own materials
- Are responsible for their own taxes and legal obligations
TeacherWave does not guarantee Tutor earnings.
7. STUDENT SUBSCRIPTIONS & CREDITS
- Students purchase a monthly subscription, receiving a set number of Lesson Credits.
- Lesson Credits must be used within the monthly cycle, do not roll over, and expire at renewal.
- Trial lessons must cost at least 30% of a Tutor’s 1-to-1 price.
- Unused credit distribution: 70% allocated to TeacherWave, 30% allocated to the Tutor. This does not penalise Tutors; it increases their revenue share.
8. PAYMENTS, FEES & BILLING
- All payments are processed securely through approved processors (Stripe, PayPal, etc.).
- Users must maintain a valid payment method.
- Subscription renewals are automatic unless cancelled.
- Teachers receive payouts minus platform fees as described in the Payment & Fee Transparency Policy.
- TeacherWave may withhold funds during investigations (fraud, safeguarding, disputes).
9. REFUNDS & CANCELLATIONS
- All refunds follow the Refund & Cancellation Policy.
- Default refund method is Lesson Credits, unless legally required or requested otherwise.
- No refunds for expired credits, missed lessons, processed subscription renewals, or dissatisfaction with Tutor style.
- Refunds may be issued for duplicate payments, confirmed platform errors, verified Tutor misconduct, or legal cooling-off requirements.
10. PROHIBITED BEHAVIOUR
All Users must comply with the Acceptable Use Policy, Anti-Fraud & Anti-Circumvention Policy, and Conduct Codes.
Prohibited behaviour includes:
- Harassment or abuse
- Sexual, inappropriate, or suggestive content
- Off-platform contact attempts
- Fraud or chargeback abuse
- Hate speech or discrimination
- Sharing personal data of minors
- Circumventing TeacherWave fees
- Illegal activity of any kind
Violation results in immediate suspension or termination.
11. SAFEGUARDING & CHILD PROTECTION
- TeacherWave enforces strict child safety requirements.
- Tutors must comply with Safeguarding & Child Safety Policy, Tutor Code of Conduct, and mandatory reporting obligations.
- Parents must supervise all lessons.
- Any concerning behaviour must be reported to: safety@teacherwave.com.
12. OFF-PLATFORM CONTACT & NON-CIRCUMVENTION
No Tutor, Student, or Parent may:
- Share personal contact details
- Communicate outside the platform
- Offer or accept direct lessons
- Bypass TeacherWave payments
- Encourage off-site teaching or messaging
Violations result in immediate account removal, loss of credits or earnings, and possible legal/financial consequences.
13. INTELLECTUAL PROPERTY
- TeacherWave owns all platform content, branding, and technology.
- Tutors own the teaching materials they create.
- Users may not copy, distribute, or misuse TeacherWave content.
14. ACCOUNT SUSPENSION & TERMINATION
TeacherWave may suspend or terminate accounts for:
- Policy violations
- Fraud or suspected fraud
- Chargeback abuse
- Safeguarding risks
- Inappropriate behaviour
- Repeated cancellations
- Non-payment
Unused credits may be forfeited.
15. LIMITATION OF LIABILITY
To the fullest extent permitted by law:
- TeacherWave is not liable for Tutor conduct
- TeacherWave is not liable for lesson content or outcomes
- TeacherWave provides services “as-is”
- TeacherWave is not responsible for user-side technical issues
- TeacherWave is not responsible for third-party tools or integrations
As an intermediary marketplace, TeacherWave is not responsible for direct interactions between Tutors and Students.
16. DISPUTE RESOLUTION & GOVERNING LAW
- These Terms are governed by the laws of Greece.
- Disputes shall be resolved through binding arbitration, unless prohibited by local law.
- Users agree not to pursue class actions.
17. AMENDMENTS
TeacherWave may update these Terms at any time. Continued use of the platform constitutes acceptance of the updated Terms.
